User Agreement

This web site ( login.performance20groups.com ) (the "Site") belongs to the Performance Solutions business unit of CDK Global, LLC ("Performance"), which provides all information and resources hereon under the following terms and conditions:

1. Each time you enter in a login ID and password on the Site or otherwise enter the Site, (1) you represent that you have been authorized to use the Site by a dealership (a "Dealer") or automotive manufacturer ("OEM") that has entered into a contract (the "Contract") with Performance; (2) you represent that you are an employee or authorized agent of a Dealer or OEM; (3) you represent that you are the user assigned to use the login ID and password that is accessing the Site and (4) you agree to be bound by this User Agreement and the Contract and to use the Site only for the purposes described in this User Agreement. Use of the Site is restricted to Performance and its authorized users. Unauthorized use of the Site including, but not limited to, unauthorized entry into the Site, misuse of passwords, or misuse of any information within the Site is strictly prohibited. The Site is designed to allow Performance Inc., Dealers, OEMs and their authorized users to analyze financial data that was previously only available via hardcopy.

2. The information available through this Site is the property of Performance, its affiliates, partners, or its licensors, and is protected by copyright, trademark, and other intellectual property laws. Information received through this may be displayed, reformatted, and printed only for the uses permitted by the Contract and this User Agreement. No information, materials, images, or data contained herein may otherwise be reproduced by any User, except in compliance with applicable copyright laws.

3. You agree that you will not, in any way, modify, move, add to, delete or otherwise tamper with the information contained in Site, nor will you de-compile, reverse engineer, disassemble or unlawfully use or reduce any of the software, copyrighted or trademarked material, trade secrets, or other proprietary information contained in the Site.

4. Although Performance monitors the information on this Site, some of the information is supplied by independent third parties. While Performance makes every effort to insure the accuracy of all information at this Site, Performance makes no warranty as to the accuracy of any such information.

5. Information and documents provided on this Site are provided "as is" without warranty of any kind, either express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, and non-infringement. Performance uses reasonable efforts to include accurate and up-to-date information on this Site; it does not, however, make any warranties or representations as to its accuracy or completeness. Performance periodically adds, changes, improves, or updates the information and documents on this website without notice. Performance assumes no liability or responsibility for any errors or omissions in the content of our website. Your use of this website is at your own risk. UNDER NO CIRCUMSTANCES SHALL PERFORMANCE BE LIABLE FOR ANY DAMAGES TO USER, INCLUDING ANY INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES THAT RESULT FROM USER'S USE OF THIS WEBSITE EVEN IF PERFORMANCE WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

6. These terms and conditions shall be governed and construed in accordance with the laws of the state of Illinois, USA, as they apply to agreements made and solely performed therein. User agrees that any and all proceedings relating to this site and the subject matter contained herein shall be maintained in the courts of the state of Illinois or the federal district courts sitting in Illinois, which courts shall have exclusive jurisdiction for such purpose.
